These Terms of Use (the “Terms”) govern your use of any website of Talkdesk, Inc. (“Talkdesk,” “we” or “us”) and any content provided on our microsite (“SINGDESK”). By accessing or using our microsite SINGDESK, you (a) acknowledge that you have read, understand, and agree to the Terms, (b) you are part of Talkdesk Staff, and (c) your team members allow you to give their information for competition reasons. If you do not agree to the Terms, do not use this page. The microsite SINGDESK may include interactive features or areas where you or other users can submit content. Content presented on the SINGDESK microsite is publicly viewable to other registered users. You are solely responsible for your content and your use of the microsite, which you use at your own risk.

General

By using this microsite SINGDESK, you agree to be legally bound by these Terms of Use, which take effect immediately following your first use of the website. These Terms of Use shall apply to all users of the microsite SINGDESK, Talkdesk Staff, who are also contributors of video content, information, text, pictures, graphics, photographs, audio or video, or other materials on microsite SINGDESK. If you disagree to be legally bound by all the following terms, please do not access and/or use the microsite SINGDESK.

Intellectual property

The names, images, icons, and logos identifying the Talkdesk, its Members, or third parties are subject to copyright, design rights, and trademarks of the Talkdesk, its Members, and/or third parties. Nothing contained in these Terms of Use shall be construed as conferring by implication or otherwise any right to use any trademark, design right, or copyright of the Talkdesk, its Members, or any other third party.

Use of the website

You agree not to use, copy, reproduce, distribute, publish, transmit, broadcast, download, store in any medium, adapt or change in any way, make available to the public, or otherwise use any content of this microsite SINGDESK or parts thereof, such as particular features, in any way except for your own personal, non-commercial use. Moreover, you agree not to adapt, alter or create a derivative work from any SINGDESK content except for your own personal, non-commercial use. Any other use of SINGDESK content requires the prior written permission of Talkdesk. You agree to use the website only for lawful purposes and in a way that does not infringe other persons’ rights or limit or hinder anyone else’s use and enjoyment of the microsite SINGDESK. Prohibited behavior includes causing inconvenience to any person by transmitting obscene or offensive content or disrupting the normal flow of dialogue within the SINGDESK microsite. You agree not to collect any identifiable personal information, including account names, from the microsite SINGDESK or to use any data, including images, video, or photo, from your team members for any reason. You affirm that you are a Talkdesk Staff and are fully able and competent to accept the terms outlined in the present Terms of Use.

Participation submission

By submitting your team participation of any kind (including any text, pictures, graphics, photographs, audio, or video), you agree, subject to the provisions set out in the present clause 4, to grant Talkdesk a worldwide, perpetual, royalty-free, non-exclusive, transferable and irrevocable right and license to use, reproduce, modify, edit, cut, alter, adapt, translate, dub and/or subtitle in any language, create any derivative work, publish, distribute, broadcast, make available to the public, transmit, store, perform, show or play in public, and exercise all copyright and publicity rights concerning your submission. No unlawful or objectionable content: defamatory, abusive, vulgar, harmful, obscene, profane, sexually-oriented, racially offensive, or otherwise objectionable material or language is not acceptable; By submitting your team participation, you understand and agree that:

a) Your participation is your own original work and does not infringe any law, and you have the express consent, release, and/or permission of each and every possible rightsholder and/or identifiable individual person in the submission to use the name or likeliness of each and every such identifiable person to make your submission available to the Talkdesk.
b) No payment will need to be made by any entity whatsoever;

You will not use the content that you have collected from your team members for any other purpose than SINGDESK. If you do not want to grant Talkdesk, the rights set out above and/or if you cannot provide Talkdesk with the warranties mentioned above, do not submit your participation to the microsite SINGDESK. Talkdesk reserves the right to refuse or delete any participation without prior notice or take action against any account, at any time, for any reason, without prior consent, and without prior notice.

Disclaimers

Talkdesk shall not be liable for any damages, including indirect or consequential damages, or any damages arising from use or loss of use, data, or profits, whether in contract, negligence, or other action, arising from or in connection with your use of the microsite SINGDESK. Talkdesk content, including the information, names, images, pictures, logos, and icons regarding or relating to the SINGDESK, is provided to you “as is” for your information, and personal use only without any representations or any kind of warranty (whether express or implied by law), including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, and security.

Final clauses

Talkdesk may change these Terms of Use at any time by posting changes online. Please review these Terms of Use regularly to ensure that you are aware of any such changes made by Talkdesk. Your continued use of the website after changes have been posted on the microsite SINGDESK implies that you agree to be legally bound by these terms as updated or amended. If any of these terms are determined to be illegal, invalid, or otherwise unenforceable because of the laws of any state or country in which these terms are intended to be effective, then to the extent, and within the jurisdiction in which that term is illegal, invalid or unenforceable it shall be severed, and deleted from these Terms; the remaining Terms shall remain in full force and effect.
